These Terms of Use (these "Terms") are a legally binding agreement between users (hereinafter - you, yours) and Victor Sukhoy (Troitskaya 43b, Odesa 65045, Ukraine ) (hereinafter - “Company”, "us", "we", or "our"), which regulates the conditions and rules of use the app “Call Recorder - Phone Record” (also - “Call Recorder”, “software”, “services”, or “app”).

Please read these Terms carefully before using the app Call Recorder and operating by.

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms and Privacy Policy and other rules established by the service. These Terms apply to all visitors, users, and others who wish to access or use the Services.

By accessing or using the Call Recorder, you agree to be bound by these Terms and Privacy Policy. If you disagree with any part of the terms, then you do not have permission to access the app Call Recorder.

You also certify that you have full legal capacity and capacity and are of the age required by the law of your country or state the US of which you are a citizen, to accept these conditions.

We provide services for the use of software with the help of which enables you to record incoming and outgoing calls without any time limit. Record any calls in a few taps and access conversations. Save, access, manage & share important conversations anywhere and anytime.

Choose which users or incoming/outgoing phone calls to record and choose which calls you want to save or share. A simple intuitive interface does not require a detailed study - you can start using the program right after installation.

End-user license agreement (EULA)

We grant you a personal, worldwide, revocable, non-transferable, and non-exclusive license to access and use for personal and non-commercial purposes under these Terms.

This license is for the sole purpose of enabling you to enjoy the benefits of the software, as stated herein, and also for your personal use only.

Under this license, it is prohibited to use the Call Recorder or any of its materials, including but not limited to parts of it for commercial, or promotional purposes, without the prior written consent of the Company. User has no right:

copy or reproduce the software or any part of the software other than under the license granted in these terms of use;
sell, resell, rent, lease, loan, supply, distribute, redistribute, publish or re-publish the Software or any part of the software;
modify, alter, adapt, translate or edit, or create derivative works of, the software or any part of the software;
reverse engineer, decompile, disassemble the software or any part of the software;
copy, modify, transmit, distribute, publicly display, demonstrate, create any derivative works (products); use or in any way reproduce any copyrighted materials, images, screenshots, trademarks, trade names, proprietary information, service marks, and other objects of intellectual property available on the Call Recorder;
this list is not exhaustive.

The license does not provide for any transfer (alienation) of intellectual property rights belonging to the Company.

Your obligations

You shall not, directly or indirectly:

reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how, or algorithms relevant to the Services or any software, documentation, or data related to the Services (“Software”);
modify, translate, or create derivative works based on the Services or any Software;
access all or any part of the Services or the Software in order to build a product or service which competes with the Services;
use the Services to provide services to third parties;
license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services available to any third party except the employees or agents of the Customer;
use the Services in a manner that is illegal or causes damage or injury to any person or property;
access, store, distribute or use during the course of its use of the Services any malware or any material that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; facilitates illegal activity; depicts sexually explicit images; promotes unlawful violence; is discriminatory based on race, gender, color, religious belief, sexual orientation, disability; or
attempt to obtain, or assist third parties in obtaining, access to the Services.

Subscriptions

The tariffs and types of subscription for use of our software are available to users in our app. You can pay for your subscription using payment system Apple pay.

Some of our subscriptions include a free trial period, where you can experience the Call Recorder at no cost.

Subscription with the free trial period will automatically renew to a paid subscription once your free trial expires.

If you decide to unsubscribe from a paid subscription before Apple pay start charging your payment method, cancel the subscription before the free trial ends.

Payment will be charged to your credit/debit card. You choose one of our subscriptions and confirm your purchase. Paid subscriptions automatically renew unless auto-renew is turned off. The procedure for automatic debiting for a paid subscription is governed by the provisions and rules of Apple pay.

Refund rules for paid subscription are governed by the provisions and rules of Apple pay.

Intellectual Property

The app and its original content, design and appearance elements, software GUI, including but not limited to UI / UX design, icons, images, photographs, features and functionality are and will remain the exclusive property of Call Recorder and its licensors.

The Service is protected by copyright, trademark, and other laws around the world.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Personal data

We collect and process your data to provide our services in using the software. In the Privacy Policy section, we describe in detail how your data can be collected, processed, and transmitted.

User guarantees

By using, or visiting Call Recorder you guarantee:

the compliance with age restrictions;
that you will use the Call Recorder for personal use;
that you have all the powers (competence and legal capacity) required by law to accept these terms.
that you will not use the Call Recorder: for fraud, other atrocities; insults defaming the honor and dignity of other users; distribute obscene content; distribute pornographic content; unapproved collect, process, and distribution of personal data of other users;
not to violate the terms and conditions established by this agreement;
not to violate the rights of other users including but not limited to the intellectual property rights of third parties.
that you will not pass malicious software.

Dispute resolution

In case of disputes concerning the terms of this document between users and the Company, the settlement of the subject of the dispute shall be resolved in a pre-trial manner through negotiations and agreement on the peaceful settlement of the dispute.

Users' complaints and claims are accepted to the email address i[email protected]. Our support service will contact you in the shortest lines. The time limit for the consideration of a complaint or claim is 14 days.

In case of failure to reach an agreement on the peaceful settlement of the dispute, any dispute, controversy, proceedings or claim of whatever nature arising out of or in connection with or in any way relating to this Agreement or its formation, shall be governed by and construed in accordance with the Laws and Regulations of the England and Wales.

If for any reason a court of competent jurisdiction finds any provision of this Terms, or a portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible to affect the intent of this Terms, and the remainder of this Terms shall continue in full force and effect. A printed version of these Terms shall be admissible in judicial or administrative proceedings.

Terms of use changing

We are constantly working on the development of our service, as well as the services that we provide, for more convenient and comfortable use. Therefore, the policy of using the service may be changed from time to time and supplemented by new provisions.

When the terms change, we will notify you in advance of such changes so that you can familiarize yourself with the new terms and conditions.

Term and termination

These Terms shall remain in full force and effect while you use our software.

Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Call Recorder (including blocking certain IP addresses), to any person for any reason including without limitation for breach of any representation, warranty or covenant contained in these Terms or of any applicable law or regulation.

If we determine, in our sole discretion, that your use of the Call Recorder is in breach of these Terms or of any applicable law or regulation, we may terminate your use or participation in the Call Recorder any time, without warning, in our sole discretion.

Indemnification

You agree to defend, indemnify and hold us harmless and our licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

your use and access of the app;
a breach of these Terms.

Limitation Of Liability

In no event shall Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

your access to or use of or inability to access or use the Service;
any conduct or content of any third party on the Service;
any content obtained from the Service; and
unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose;
violations by users or third parties of the rights to intellectual property of third parties, admitted using our service;
cases where the functionality of the service is disrupted or limited as a result of a malfunction of a mobile device, Internet provider or mobile operator services;

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

We do not warrant that

a) the Service will function uninterrupted, secure or available at any particular time or location;

any errors or defects will be corrected;
the Service is free of viruses or other harmful components; or
the results of using the Service will meet your requirements.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

This Agreement shall be governed by and construed in accordance with the Laws and Regulations of England and Wales. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to hear and determine any suit, action or proceedings or settle any dispute arising out of or in connection with this Agreement and to enforce any judgment.

Miscellaneous

We may freely assign its rights and/or obligations under this agreement without the user's consent. Save as expressly provided in this agreement, the users must not assign, transfer, charge, license or otherwise dispose of or deal in this agreement and/or any of its rights and/or obligations.
